Влияние корпоративного управления, структуры собственности и финансовой архитектуры на стратегическую эффективность компаний

Аннотация
Статья содержит комплексный анализ сложной взаимосвязи между корпоративным управлением, структурой собственности, финансовой структурой и стратегической эффективностью компаний. Общие выводы определяются на основе всестороннего анализа существующих исследований. Результаты подчеркивают значимость независимого комитета по аудиту, разделения ролей председателя совета директоров (СД) и генерального директора, а также частоты проведения заседаний совета директоров на эффективность деятельности компании. Кроме того, анализируется влияние на различные переменные эффективности состава и размера совета директоров и комитетов по корпоративному управлению. Исследование также подчеркивает необходимость учета нескольких аспектов при оценке эффективности компаний и устанавливает U-образную связь между долей собственности компании в руках ее менеджеров или членов СД и эффективностью компании. Будущие исследования должны продолжить изучение этих аспектов экономического развития с учетом его разных периодов и стадий, а также специфики развитых и развивающихся стран.
